UX CIRCLES Ltd Terms and Conditions

1. Introduction
These Terms and Conditions govern the provision of design services by UX CIRCLES Ltd (“the Company”) to clients (“the Client”). By engaging our services, the Client agrees to be bound by these Terms and Conditions.
2. Services
The Company provides design services on a subscription and project-based quote basis. The scope of services provided will be outlined in the Client’s subscription plan or project agreement.
3. Subscription Plans
a. Subscription plans are offered on a monthly basis and are automatically renewed unless cancelled by the Client.
b. Payment for subscription plans is due in advance of service provision.
c. The Client may upgrade or downgrade their subscription plan at any time.
d. The Company reserves the right to modify subscription plan features and pricing with prior notice to the Client.
e. Subscription plans include unlimited designs. The Client is expected to provide reasonable time for the Company to complete designs and revisions.
4. Project Quotes
a. Project quotes are provided to the Client based on the scope of work discussed.
b. Quotes are valid for 30 days from the date of issue.
c. Payment terms for project-based quotes will be outlined in the project agreement.
d. Project-based contracts include up to three design revisions. Additional revisions may incur extra charges. The Client is expected to provide reasonable time for the Company to complete these revisions.
5. Client Responsibilities
a. The Client is responsible for providing all essential materials, information, and feedback necessary for the Company to complete the design services. This includes, but is not limited to, branding guidelines, logos, images, text content, and any other materials specified by the Company.
b. The Client shall be responsible for obtaining any necessary permissions, licences, or approvals for content provided to the Company.
c. Delays in providing the necessary materials may result in delays in the delivery of services. The Company will not be held responsible for any delays caused by the Client’s failure to provide essential materials in a timely manner.
6. Payment
a. Payment for services is due upon receipt of invoice, unless otherwise agreed upon in writing.
b. Late payments may be subject to interest charges of 10% per month on the outstanding balance.
c. The Company reserves the right to suspend services in the event of non-payment.
7. Intellectual Property
a. The Company retains ownership of all intellectual property rights, including but not limited to designs, concepts, and creative assets, created during the provision of services.
b. Upon full payment, the Client is granted a non-exclusive licence to use the deliverables for the purpose outlined in the agreement.
8. Showcasing Design Work
a. The Company reserves the right to showcase completed design work in its portfolio, marketing materials, and online platforms for promotional purposes.
b. Client confidentiality will be respected, and sensitive information will be omitted from public displays unless otherwise agreed upon in writing.
9. Termination
a. Either party may terminate the agreement with 30 days written notice.
b. In the event of termination, the Client shall pay for all services provided up to the date of termination.
10. Limitation of Liability
a. The Company shall not be liable for any indirect, incidental, or consequential damages arising from the provision of services.
11. Governing Law
a. These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
12. Changes to Terms and Conditions
a. The Company reserves the right to modify these Terms and Conditions at any time. Updated Terms and Conditions will be posted on the Company’s website.
